1 About the site and registration requirements

This website is an e-commerce platform that allows businesses to list and sell products, and enables companies and individuals to purchase a variety of products, primarily custom-made curtains and home furnishings, along with installation services. We reserve the right to introduce new services, update any existing services, or discontinue them at our sole discretion and without any liability to you, notifying you in advance whenever possible regarding any essential services you have already subscribed to.

You are eligible to register as a buyer or seller and benefit from the services if you meet the following eligibility criteria:

• For buyers: You must be of legal age (18 years and over) to be able to enter into legally binding purchase contracts in your country of residence, and be able to provide a valid address in the Arab Republic of Egypt or any country we serve for product delivery.
• For sellers: You must have a registered business in accordance with your country’s laws, a valid business license, proof of authorization for the individuals making the registration, proof of the identity of the authorized person, and provide supporting bank statements for yourself or the company.

You acknowledge and agree that additional requirements may apply to certain product categories (such as made-to-order products). We reserve the right to refuse any registration application without explanation and to conduct necessary identity and fraud checks. Once successfully registered, registration remains valid indefinitely and is subject to suspension or cancellation in accordance with these terms. You may close your account at any time by contacting us, and your existing financial and legal obligations will remain in effect.

٢ Obligations and prohibitions

• You are responsible for maintaining the privacy and confidentiality of your account login data and password, and you bear responsibility for all activities that take place through your account.
• Notify us immediately if you discover any unauthorized use of your account or any other security breach.
• Provide complete, truthful, accurate and up-to-date information about yourself, and update it whenever it changes.
• Do not disclose to third parties the information of other users that has been provided to you through the site.
• Cooperate with us when we request additional information to verify your identity or the validity of your transactions.

• Posting, listing, or uploading any inappropriate or prohibited content, including: content that is morally or religiously inappropriate; content that violates law, religious principles, and national security; promotion of gambling, securities, living or dead organisms, weapons, alcohol, tobacco, drugs, medical drugs, chemicals, or defective, counterfeit, and misleading materials.
• Posting stolen material or material that you are not legally entitled to share.
• Violating the law, the rights of others, or circumventing the site's security systems and controls.
• Use the services if your account has been temporarily or permanently suspended.
• Failure to pay for products (for buyers), or failure to deliver products you sold to customers (for sellers).
• Use other users' contact information to increase your sales outside the site's boundaries.
• Manipulating the price of any product, or unauthorized interference with other users' listings.
• Posting unsolicited messages (spam), viruses, or any technologies that are harmful to the site or its users.
• Violating copyright, trademark, patent, and/or intellectual property rights of us or others, or collecting user information without their consent.
• Using automated programs (Bots) or data scraping tools to access the site's content without our prior written permission.
• Impersonating any individual or entity, or providing misleading information about your relationship with any person or entity.

٣ Intellectual property rights, guarantees and undertakings

All content on this website is our own property or the property of our licensors, including but not limited to: text, graphics, logos, images, product designs, and software code (including the interactive curtain design tool). Furthermore, all rights and title to any information or materials you submit (excluding your personal data subject to our Privacy Policy) become ours for use in developing our services. You agree that you may not use our trademarks or logos without our prior written consent.

I guarantee, undertake, and acknowledge the following:

• Full compliance with applicable laws and regulations, including privacy laws and digital content regulation.
• You have full authority to enter into this contract, and the execution of these terms does not conflict with any other laws or agreements to which you are a party.
• If you create an account on behalf of a company, you are authorized to act on its behalf, and you warrant that it will comply with these terms, and the account is considered to be owned by that company.
• That any content you provide does not infringe on the rights of others anywhere in the world (including intellectual property rights and privacy rights).

The services are provided to you “as is” (as-is) without any express or implied warranties beyond those expressly stated in these terms and in the product warranty policy. We disclaim all express or implied warranties of merchantability or non-infringement of rights, and we do not guarantee that the services will be completely free from defects or occasional technical failures. As a buyer, you agree that we are not responsible for verifying the accuracy of every product listing provided by another seller. As a seller, you are solely responsible for the accuracy of your listings and their conformity to the actual product.

٤ Liability, compensation and cancellation

Nothing in these terms limits the liability of any party for fraud, death, or personal injury resulting from negligence, in accordance with Egyptian law, which cannot be contravened by agreement. However, in all other circumstances, we, our parent company, subsidiaries, affiliates, directors, and agents shall not be liable for any claim related to loss of profits, loss of data, or any financial loss or indirect or consequential damages arising from the use of the services, delays, viruses, or the actions of third parties.

If it is legally established that any of the above exemptions do not apply, our total obligations to you, whether in contract or in negligence, shall be limited to the maximum amount which represents the minimum value of:

• The price at which the product was sold on the website plus the original shipping cost, or
• The amount of the disputed fees actually paid during the previous twelve (12) months, or
• An amount of three hundred (300) Egyptian pounds.

You agree to indemnify and hold harmless us, our parent company, and our affiliates from any and all losses, damages, or expenses (including reasonable attorneys’ fees) arising out of: third-party claims resulting from your use of the Services, your breach of these Terms, your violation of applicable laws, or your submission of content that infringes on the intellectual property rights of others or contains libel or defamation.

We reserve the right to limit, suspend, or terminate your access to the Services, cancel any product orders, or delete your content, at our sole and justifiable discretion and without liability to you, in cases such as a breach of these Terms or suspected fraudulent activity. Any payments made for orders canceled for reasons not attributable to your breach will be refunded. We are committed to reviewing all reports of content violations, and if we discover any violation, please notify us immediately so we can investigate and take appropriate action.

Betaliz and/or its affiliates provide you with other features and services. To enhance your experience, you agree that we may create additional services and/or accounts on your behalf using the information you provide, with notification to you.

٥ User-generated content, reviews, and account management

By posting a rating, review, or comment on a product, you acknowledge that it reflects your honest personal experience and grant us a non-exclusive, worldwide, royalty-free license to use, publish, and display such content on our website and marketing channels. We reserve the right to delete any rating that is abusive, misleading, or violates these terms without prior notice.

Creating more than one account for the same person for fraudulent purposes (such as repeatedly taking advantage of welcome offers) is not permitted. Minors under the age of 18 may not create an account or make a purchase except under the supervision and with the consent of their guardian, who bears full legal responsibility for any transactions made through the account.

You agree that the official means of communication between us are the email address registered in your account, and/or notices posted on the website, and/or text messages/WhatsApp to the registered number. Any notices we send through these channels shall be considered official and legally valid notification received from you.

The terms of sale are the terms and conditions under which purchases are supplied and delivered to you, the buyer, on the website or application. Submitting a purchase order constitutes your acceptance of and agreement to the terms of this section.

٦ Acceptance of purchase order and payment

• Supplier: Each product is sold either directly by us or by a local or global seller authorized on the platform.
• Acceptance: Your order will be accepted when we notify you in writing (via email or confirmation letter). If acceptance is not possible for any reason, the product price will not be charged, and any temporarily reserved amount will be refunded within your bank's normal processing time.
• Payment: Your order authorizes us to deduct the amount due. We accept payment via credit/debit cards, e-wallets, or cash on delivery for amounts up to EGP 25,000. To authorize electronic payments, we may require you to open an account with one of our approved payment processors and accept their terms and conditions.
• Cancellation by us: We have the right to cancel your order in the following cases: non-payment, failure to provide us with the required information, inability to receive the product at the specified address, or repeated attempts to purchase in bulk that violate the fair use policy, at our sole and justifiable discretion.

٧ Delivery of your order, ownership and invoices

• Delay: If our delivery is delayed due to circumstances beyond our control, we will contact you as soon as possible to inform you and schedule an alternative delivery time. If you fail to receive your product after two delivery attempts without a valid reason, we reserve the right to cancel the order according to the terms outlined in our shipping policy.
• Delivery from abroad: For international orders, you may be registered as the importer of the goods in your country, and you should check local customs laws and pay any applicable import duties or taxes.
• Ownership and billing: Ownership of the products transfers to you upon actual delivery and full payment. We will issue an official electronic invoice and send it to your registered email address within 3 business days of delivery.

٨ Returns, exchanges, and refunds

Hazardous materials and flammable liquids, products used or damaged by the customer, consumables, products without a serial number, food, underwear, socks, opened personal care products, medical baby products, and any product that has been opened or mixed for health reasons or exposed to contamination.

For products that were delivered incorrectly and returned due to our error, we will issue a full refund, including return shipping fees. If the return is for other reasons (change of mind), the customer is responsible for the return shipping costs.

• Cash on delivery: The value will be refunded to your electronic wallet or via bank transfer as soon as the product passes the quality check.
• Credit card or e-wallet: Refunds will be issued to the same payment method within 14 to 30 business days from the date we receive the product at our center, depending on the policy of the card-issuing bank.
• If you cancel the order before the shipping date, the money will be automatically refunded to you within a maximum of 7 business days.

٩ Warranty, defects, and legal obligations for customers

It guarantees protection against manufacturing defects according to the full details provided in Warranty Published on the website. In cases where products are sold by another seller on the platform, that seller's warranty terms apply. The warranty is limited to repairing or replacing the defective part or refunding the purchase price, and repair does not constitute an extension of the original warranty period.

The warranty does not apply in the following cases: Unauthorized repair attempts, shocks and fractures resulting from misuse, liquid damage, modification of original driver software, use of non-original accessories, removal or damage of the serial number, replacement of consumables (such as batteries and everyday wearables), and general misuse.

You agree to comply with applicable laws and represent that you have full legal capacity to enter into this contract. If you purchase on behalf of a company, you confirm that you are authorized to do so. Services are provided "as is" without warranties beyond those expressly stated. Nothing in these terms excludes liability for fraud or death due to negligence, but we (and our affiliates and suppliers) are not liable for any incidental damages or data loss resulting from delayed delivery, repairs, viruses, or site downtime due to technical reasons beyond our control.

Our full legal liability towards you is limited to the maximum minimum value of: the price of the product plus shipping costs, or three hundred (300) Egyptian pounds, whichever is less, except in cases of fraud or gross negligence for which liability may not be limited by law.

10 Validity of electronic contracts and digital signatures

You acknowledge and agree that completing your purchase electronically through the website, including clicking the “Confirm Order” button or similar, constitutes a legally binding electronic signature in accordance with the provisions of Egyptian Electronic Signature Law No. 15 of 2004 The Electronic Transactions Law has the same legal force and validity as a traditional handwritten signature, and you may not challenge the validity or enforceability of the contract simply because it was concluded by electronic means.

These Terms of Use and Sale, and any contractual or non-contractual rights or obligations arising therefrom, are governed by and construed exclusively in accordance with the laws of the Arab Republic of Egypt. We always encourage you to contact us first to resolve any dispute amicably. If we are unable to reach a resolution within forty-five (45) days of your written notification of the problem, the final settlement shall be subject to the exclusive jurisdiction of [the relevant authority/entity]. These Terms (and the documents referenced, including the Vendor Agreements, Privacy Policy, Returns Policy, Shipping Policy, and Warranty Policy) constitute the entire agreement between you and us and supersede all prior oral or written agreements and negotiations. You may not unilaterally modify these Terms. We reserve the right to modify and add to them at any time, and your continued use of the Site after the posting of any modifications constitutes your express acceptance of those modifications.

If any provision of these Terms is held to be invalid or unenforceable, only that provision shall be nullified, and the remaining provisions shall remain in full force and effect. You may not assign any of your obligations under these Terms to a third party without our prior written consent. Our waiver of a claim at any given time shall not constitute a continuing waiver of that claim in the future, unless expressly stated in writing.

No party shall be held liable for any delay or failure to perform caused by reasons beyond its reasonable control (acts of God, natural disasters, new legislative provisions, power outages or internet service disruptions, labor unrest or strikes, wars or security disturbances, or disruptions to the work of subcontractors and external service providers).

Provisions that are by their legal nature continue to apply even after your membership on the site ends or is terminated, most notably provisions concerning intellectual property, liability, compensation, and dispute resolution.
